Key responsibilities include, but are not limited to, the following:
1. Legal Research and Regulatory Updates
- Regularly research, monitor, and update legal regulations related to the company’s operations, including but not limited to: Enterprise Law, Labor Law, Commercial Law, Investment Law, Contract Law, Tax regulations, and regulations related to manufacturing and production activities.
- Analyze the impact of newly issued or amended laws and regulations on the company’s business activities.
- Provide legal opinions and propose necessary adjustments to internal policies, procedures, or business practices to ensure compliance and minimize legal risks.
2. Contract Drafting and Review
- Draft, review, revise, and manage various types of contracts and legal documents, such as sales contracts, service agreements, supplier contracts, lease agreements, labor contracts, NDAs, MOUs, and other legal agreements.
- Ensure that all contracts are legally compliant, clearly define rights and obligations of all parties, and protect the company’s interests.
- Support relevant departments (Sales, Purchasing, HR, Production, etc.) during contract negotiation and implementation when legal consultation is required.
3. Legal Compliance and Internal Control
- Review internal rules, regulations, and procedures to ensure alignment with current legal requirements.
- Identify potential legal risks or non-compliance issues in internal operations and propose improvement solutions.
- Assist in developing, updating, and standardizing internal legal documents, policies, and compliance procedures.
4. Legal Advisory and Risk Management
- Provide daily legal advice and consultation to management and other departments on legal issues arising during business operations.
- Assist in handling disputes, complaints, or legal issues with customers, partners, suppliers, or authorities, if any.
- Coordinate with external lawyers, consultants, and government authorities when required.
- Support legal matters related to inspections, audits, or regulatory compliance reviews.
5. Other Assigned Tasks
- Perform other legal-related duties as assigned by supervisors or management.
- Support legal work related to business expansion, operational changes, or internal restructuring when necessary.
Job Requirements
1. Education
- Bachelor’s degree in Economic Law, Commercial Law, or related legal fields.
2. Experience
- At least 02 years of experience in corporate legal affairs or legal compliance roles.
- Priority will be given to candidates who have experience working in Japanese companies, especially in the manufacturing or production sector.
3. Language Skills
- Intermediate level of English, especially in reading and understanding legal documents.
- Japanese language proficiency is a strong advantage.
4. Skills and Competencies
- Solid knowledge of Vietnamese laws and regulations related to business operations.
- Strong analytical, logical thinking, and problem-solving skills.
- Good drafting and reviewing skills for legal documents and contracts.
